1. Acceptance & User Authority

By accessing or utilizing PDFGridly ("the Service"), you enter into a legally binding agreement with Clara Makes ("we", "us"), the operating entity of PDFGridly. If you are using this Service on behalf of a company, accounting firm, or other legal entity, you represent and warrant that you possess the full corporate authority to bind that entity to these Terms.

You specifically represent and warrant that you hold all necessary ownership rights, licenses, or lawful authorization to upload, process, extract, and export the documents, invoices, and financial records you submit through the Service.

2. Acceptable Use & Prohibited Conduct

You agree to use PDFGridly solely for legitimate document extraction and productivity purposes in accordance with applicable laws. You agree NOT to:

• Upload any documents containing malicious computer code, viruses, malware, trojans, or corrupted PDF payloads.
• Upload fraudulent, counterfeit, or unlawfully intercepted financial instruments or sensitive personal records without consent.
• Subject our application endpoints or server infrastructure to automated denial-of-service (DDoS) floods, brute-force requests, or unauthorized high-frequency scraping.
• Attempt to bypass, disable, or circumvent established technical limits (including the 10 MB file size limit and 10-page document limit).
• Attempt to reverse-engineer, decompile, or compromise the underlying server infrastructure hosting the Service.

3. Nature of Extraction & Verification Obligation

Automated document layout parsing and tabular extraction rely on complex coordinate clustering heuristics. Due to wide variations in third-party invoice templates, font encodings, and layout geometries, automated extractions may contain omissions, structural misalignments, or numeric inaccuracies.

Verification Duty: PDFGridly provides an interactive split-screen studio specifically so you can inspect, edit, and confirm all extracted fields and line items side-by-side against the original PDF. You bear the sole responsibility for verifying all numbers, taxes, and descriptions before utilizing exported spreadsheets in any bookkeeping, ERP, or business accounting system.

4. Disclaimer of Professional Advice

PDFGridly is purely a software utility for document format conversion and layout extraction. It does NOT provide, nor does it constitute, professional accounting, bookkeeping, audit, tax, legal, or financial advice.

No client, fiduciary, or professional advisor relationship is established through your use of the Service. Always consult certified accounting or legal professionals regarding statutory financial reporting and tax filings.

5. Disclaimer of Warranties & Limitation of Liability

THE SERVICE IS PROVIDED STRICTLY ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR ACCURACY.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CLARA MAKES, ITS AFFILIATES, OR HOSTING PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, BUSINESS INTERRUPTION, OR TAX PENALTIES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

6. Modifications & Service Availability

We reserve the right at any time to modify, throttle, suspend, or discontinue any feature, endpoint, or technical limit of the Service (including during scheduled server maintenance or DDoS remediation) without prior liability. We may update these Terms periodically, with changes taking effect upon publication on this page.

7. Governing Law & Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or your use of the Service shall be governed by and construed in accordance with the laws of the Kingdom of Morocco, without giving effect to any choice or conflict of law principles.

Any legal action, suit, or proceeding arising under or related to these Terms shall be instituted exclusively in the competent commercial courts of Casablanca, Morocco.
